Terms of Use & End User License Agreement (EULA)

This Agreement provides the general terms and conditions applicable to all services (the “Services”) offered by The Cyber Exchange (“THE CYBER EXCHANGE”) through its website located at TheCyberExchange.io (the “Site”). By accessing or using this Site, you accept without limitation the Terms of Use. THE CYBER EXCHANGE reserves the right to change the Terms at any time. Your continued use of the Site constitutes acceptance of the updated Terms.

1. Registration and Member Information:
Membership may be denied to persons not meeting credit or professional criteria. To become a member, you must:
Be 18 or older and authorized to represent the registering entity.
Submit accurate and complete information.
Maintain updated information throughout your membership.


2. Subscription, Renewal & Cancellation:
Subscriptions renew automatically unless canceled in advance. Fees are non-refundable.


3. Termination
THE CYBER EXCHANGE reserves the right, in its sole discretion and with or without notice, to suspend, restrict, or terminate any account or access to the Platform for any violation of this Agreement, any applicable platform policy, applicable law, or for any other reason deemed necessary to protect the Platform, its users, or its business interests.
Termination shall not relieve a Member of any obligation incurred prior to termination, including payment of any outstanding fees or compliance with any continuing obligations under this Agreement. Sections relating to confidentiality, intellectual property, limitations of liability, indemnification, dispute resolution, and any other provisions that by their nature should survive termination shall remain in full force and effect.

4. Independent Contractors/No Agency:
THE CYBER EXCHANGE is solely an online marketplace that facilitates connections between Members. Nothing contained in this Agreement creates any partnership, joint venture, employment relationship, agency, fiduciary relationship, or other legal relationship between THE CYBER EXCHANGE and any Member, or between Members themselves. Members are solely responsible for negotiating, entering into, and performing their own agreements and obligations.


5. Service Fees:
THE CYBER EXCHANGE may modify fees at any time. Fees are in USD. Users are responsible for paying fees and applicable taxes. No refunds are provided for cancellations after payment.


6. Use and Protection of Username and Password:
You are responsible for maintaining your account credentials. Unauthorized use must be reported immediately to support@thecyberexchange.io.


7. Limited Copyright License
Site content is protected by copyright laws. You may not copy, reproduce, or redistribute content without permission.
Ownership of Intellectual Property. The Platform, including its software, design, text, graphics, logos, trademarks, service marks, databases, compilations, functionality, and all other content and technology made available by THE CYBER EXCHANGE, are and shall remain the exclusive property of THE CYBER EXCHANGE or its licensors and are protected by United States and international intellectual property laws.

8. User Content: 
Members retain ownership of the information, documents, project descriptions, proposals, comments, and other content they submit to the Platform ("User Content"). By submitting User Content, Members grant THE CYBER EXCHANGE a non-exclusive, worldwide, royalty-free license to host, store, reproduce, transmit, display, and otherwise use such User Content solely as reasonably necessary to operate, maintain, improve, and provide the Platform and its related services.
Members represent and warrant that they possess all rights necessary to submit User Content and that such content does not infringe upon the intellectual property or other rights of any third party.
Except as expressly permitted by this Agreement, no Member may copy, modify, distribute, reverse engineer, decompile, create derivative works from, publicly display, or otherwise exploit any portion of the Platform without the prior written consent of THE CYBER EXCHANGE.

9. Marketplace Disclaimer:
The Cyber Exchange is solely a marketplace connecting requesters and providers. It is not a party to contracts between users and does not supervise, direct, warrant, or guarantee services performed by providers.


10. Use of Member Information:
Your information is handled per our Privacy Policy. By using the Platform, you consent to our use and storage of your information.

11. No Professional Advice:
Information made available through the platform does not constitute legal, cybersecurity, accounting, engineering, or professional advice.

12. Dispute Between Users:
The Cyber Exchange has no responsibility for disputes arising between requesters and providers

13. Dispute Resolution and Arbitration: 
The Parties agree to make a good faith effort to resolve any dispute, claim, or controversy arising out of or relating to this Agreement or the use of the Platform through informal negotiations before initiating legal proceedings.
If a dispute cannot be resolved through informal negotiations within thirty (30) days, the dispute shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules then in effect. The arbitration shall be conducted by a single arbitrator in Bexar County, Texas, and the arbitration proceedings shall be conducted in the English language.
The arbitrator shall have authority to award any remedy available under applicable law, except that the arbitrator shall have no authority to award punitive or exemplary damages unless such damages cannot be waived under applicable law. 
Judgment upon the arbitration award may be entered in any court having jurisdiction.
Notwithstanding the foregoing, The CyberExchange may seek temporary or permanent injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, proprietary rights, or platform security.


14. Waiver of rights must be in writing:
If any provision is deemed unenforceable, the rest remain valid. Force majeure may excuse performance.


15. Class Action Waiver:
To the fullest extent permitted by applicable law, all disputes shall be resolved solely on an individual basis. Neither Party may bring or participate in any class action, collective action, representative action, or similar proceeding arising out of or relating to this Agreement.


16. Export Control Compliance: 
Members agree to comply with all applicable United States export control laws, economic sanctions, and trade regulations, including those administered by the U.S. Department of Commerce, the U.S. Department of the Treasury's Office of Foreign Assets Control (OFAC), and other applicable governmental authorities.
Members represent that they are not located in, organized under the laws of, or ordinarily resident in any country or territory subject to comprehensive U.S. sanctions, and are not identified on any applicable U.S. government restricted or prohibited party list. Members shall not use the Platform in violation of any applicable export control or sanctions laws.


17. Governing Law and Jurisdiction:
This Agreement is governed by the laws of Texas. Legal actions must be filed in Texas courts. Use outside the U.S. is at your own risk.

This Agreement, the Platform, and any dispute, claim, or controversy arising out of or relating to this Agreement, the Platform, or any services provided through The Cyber Exchange shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of laws principles. Subject to any applicable arbitration provision contained in this Agreement, the Parties irrevocably agree that the state courts located in Bexar County, Texas, and the United States District Court for the Western District of Texas, San Antonio Division, shall have exclusive jurisdiction over any action or proceeding arising out of or relating to this Agreement or the Platform. Each Member knowingly and voluntarily waives any objection based on improper venue, forum non conveniens, lack of personal jurisdiction, or any similar doctrine and consents to the exclusive jurisdiction and venue of such courts. Nothing in this Agreement shall prevent THE CYBER EXCHANGE from seeking temporary, preliminary, or permanent injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property, confidential information, proprietary rights, Platform security, or other legitimate business interests.
